Terms of Service

These Terms of Service ("Terms") govern access to and use of the Covered platform, software, and related services (collectively, the "Services") provided by Covered, Inc. ("Covered," "we," "us," or "our").

These Terms apply solely to business customers located in the United States and their authorized users. By accessing or using the Services, you represent that you are acting on behalf of a business entity and have authority to bind that entity to these Terms.

1. Definitions

  • "Account" means a business account registered with Covered.
  • "Authorized User" means an individual authorized to access the Services on behalf of a business customer.
  • "Services" means Covered's software, APIs, invoice processing tools, payment workflows, and related services.
  • "Transaction" means any payment instruction, wallet interaction, or funds movement initiated through the Services.

2. Services

Covered provides tools that help businesses process invoices and facilitate payments, including stablecoin-enabled transactions and fiat off-ramps through third-party providers.

Covered is not a bank, does not custody customer funds, and does not provide investment, legal, or tax advice.

3. Accounts and Access

You are responsible for maintaining accurate account information, safeguarding credentials and private keys, and all activity conducted by your Authorized Users.

Blockchain transactions are irreversible. Covered is not responsible for errors caused by incorrect wallet addresses or payment instructions.

4. Fees and Taxes

Fees for the Services are disclosed separately through the platform or written agreement. Unless otherwise stated, fees are non-refundable.

Billing disputes must be submitted within 30 days of the applicable charge. You are responsible for all applicable taxes.

5. Regulatory and Legal Compliance

You agree to comply with all applicable laws and regulations, including anti-money laundering (AML) laws, sanctions and export controls administered by the U.S. Treasury Department's Office of Foreign Assets Control (OFAC), and tax and reporting obligations.

Covered may suspend or terminate access to the Services to comply with legal requirements or mitigate risk.

6. Risk Disclosures

You acknowledge and accept risks associated with the Services, including:

  • Stablecoin and network volatility
  • Blockchain congestion, delays, or outages
  • Regulatory changes affecting digital assets or payments
  • Dependence on third-party service providers

7. Third-Party Services

The Services rely on third-party providers, including payment processors and financial institutions. Covered is not responsible for third-party acts or omissions, and additional terms may apply.

8. Intellectual Property

Covered retains all rights, title, and interest in the Services. You retain ownership of your business data and grant Covered a limited license to use such data solely to provide the Services.

9. Confidentiality

Each party agrees to protect the other's confidential information using reasonable care and to use such information only as permitted under these Terms.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COVERED'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED $100 USD.

12. Indemnification

You agree to indemnify and hold harmless Covered from any claims arising out of your use of the Services or violation of these Terms.

13. Termination

Covered may suspend or terminate access to the Services at any time for breach, compliance, or risk management purposes.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Disputes will be resolved through binding arbitration, and you waive any right to participate in a class action.

15. Electronic Communications

You consent to receive electronic communications and agree that electronic acceptance of these Terms constitutes binding consent.

16. Updates

Covered may update these Terms from time to time by posting a revised version. Continued use of the Services constitutes acceptance.
